Terms of Service

1. Acceptance of Terms

By creating an account, starting a trial, connecting LinkedIn, paying for a plan, generating content, scheduling a post, or otherwise using Elaryx, you accept these Terms of Service.

If you use Elaryx for a company, agency, client, or other organisation, you confirm that you have authority to bind that organisation. If you do not agree, you must not use the service.

2. About Elaryx

Elaryx is owned and operated by PINNAL SOFTWARE SOLUTIONS LLP, India. Elaryx provides AI-assisted LinkedIn growth software for content strategy, campaign planning, post generation, visual generation, scheduling support, analytics, and workflow automation.

Elaryx provides software tools. It does not provide legal advice, financial advice, investment advice, HR advice, guaranteed business consulting, or guaranteed LinkedIn growth outcomes.

3. Definitions

• Company, Elaryx, we, us, or our means PINNAL SOFTWARE SOLUTIONS LLP and the Elaryx platform.
• User, you, or your means the person or organisation using Elaryx.
• Account or Workspace means the Elaryx account, team space, settings, content, integrations, and billing relationship connected to a user or organisation.
• Subscription, Annual Plan, Billing Period, and AI Credits mean paid access, prepaid subscription periods, renewals, and usage capacity shown at checkout or inside the product.
• AI Output means text, image prompts, images, strategies, recommendations, profile analysis, hashtags, or other content generated using Elaryx.
• User Content means prompts, brand data, uploaded logos, images, campaign inputs, drafts, scheduled posts, and other materials supplied by users.
• LinkedIn Data means data received through LinkedIn OAuth, approved APIs, or user-provided LinkedIn context.
• Third-Party Services means LinkedIn, payment gateways, AI providers, hosting providers, analytics, email, support, and other external services.
• Applicable Law includes Indian law and any mandatory laws that apply to the user, the transaction, or the relevant data.

4. Eligibility and Account Registration

You must be legally competent to contract and must provide accurate account, billing, organisation, and contact information. You are responsible for all activity under your account and for keeping credentials secure.

Business users must ensure internal authorisation for workspace setup, team access, client use, LinkedIn connection, subscription purchase, and content approval.

5. Service Scope

Elaryx features may include AI content strategy, content generation, campaign planning, scheduling support, approval workflows, analytics, profile intelligence, visual generation, templates, and integrations. Features, limits, models, regions, and availability may vary by plan.

Beta, preview, experimental, or third-party-dependent features may change, be restricted, or be withdrawn without creating a refund right unless applicable law requires otherwise.

6. AI Content and Human Review

AI outputs may be inaccurate, incomplete, outdated, similar to third-party content, unsuitable for regulated claims, or misaligned with your legal or brand requirements. You must fact-check, edit, approve, and legally clear content before publishing or scheduling it.

Elaryx does not guarantee followers, leads, revenue, impressions, engagement, virality, job opportunities, funding, brand outcomes, or platform approval. You remain responsible for claims, testimonials, disclosures, IP clearance, employment claims, financial claims, medical or legal claims, and advertising compliance.

7. LinkedIn Integration

LinkedIn connection works through OAuth or approved integration methods. Elaryx does not ask for or store LinkedIn passwords. Access depends on LinkedIn permissions, approved scopes, user consent, API availability, and LinkedIn rules.

LinkedIn may change APIs, scopes, rate limits, review requirements, account policies, or platform behaviour. Elaryx is not liable for LinkedIn-side changes, rejections, restrictions, account actions, or unavailable metrics.

Elaryx is not affiliated with, endorsed by, or sponsored by LinkedIn. Users must comply with LinkedIn policies and must not use Elaryx to bypass LinkedIn restrictions.

8. User Responsibilities

• Keep account, email, workspace, payment, and LinkedIn credentials secure.
• Review all AI-assisted content before publishing or scheduling.
• Ensure content is legal, truthful, non-infringing, non-discriminatory, not misleading, and properly authorised.
• Obtain rights for uploaded logos, brand assets, images, personal data, testimonials, screenshots, client content, and third-party materials.
• Maintain client, team, and organisation authorisation where you manage accounts for others.
• Use automation responsibly and within platform rules, plan limits, and applicable law.

9. Prohibited Use

• Spam, fake engagement, fake followers, scraping, crawling, spidering, unauthorised LinkedIn extraction, or bypassing rate limits.
• LinkedIn password collection, credential sharing, unauthorised posting, mass unsolicited messaging, or deceptive outreach.
• Misleading content, impersonation, undisclosed deepfakes, defamatory content, or unsupported claims.
• Illegal, hateful, violent, sexually exploitative, infringing, malware-related, or abusive content.
• Reverse engineering, probing, API abuse, resale without permission, service overload, or security testing without authorisation.
• Uploading sensitive personal data unless necessary, authorised, and legally permitted.

10. Subscriptions, Billing, Renewals, Taxes

Paid subscriptions are billed according to the plan selected at checkout. Plans may include feature limits, fair usage limits, AI credits, team seats, visual generations, campaigns, or automation rules. Payment authorisation, billing cycles, invoices, taxes, trial conversion, payment failure, downgrades, and plan changes are handled according to checkout terms and account settings.

Annual subscriptions and other prepaid plans are non-refundable once purchased or subscribed, except where applicable law requires otherwise or Elaryx expressly approves a refund in writing. Cancelling an annual subscription does not create a refund, partial refund, pro-rata refund, wallet credit, cash credit, or carry-forward credit for unused time.

Monthly subscriptions follow the same principle: cancellation stops the next renewal and access continues until the end of the active monthly billing period. Users should cancel before renewal if they do not want another billing period.

AI credits, generated outputs, scheduled posts, analytics, exports, templates, visual generations, and other digital benefits may be considered used or consumed when made available, generated, or applied under the active plan. Taxes, payment gateway charges, foreign exchange charges, bank charges, and government levies are non-refundable unless legally required.

Limited refund exceptions may include duplicate payment, proven unauthorised transaction, billing error solely attributable to Elaryx, failure to activate paid access that Elaryx cannot cure within a reasonable time, written refund commitment by Elaryx, or a refund required by court, regulator, applicable law, or payment-network rule.

11. Content Rights

You retain ownership of your User Content, subject to the rights Elaryx needs to operate the service. You grant Elaryx a limited licence to host, process, display, transform, generate, store, schedule, publish when authorised, secure, support, and analyse User Content for service operation, compliance, support, and improvement subject to the Privacy Policy.

Elaryx owns its platform software, user interface, workflows, model orchestration, templates, documentation, brand assets, and product know-how.

12. Privacy and Data Protection

Personal data handling is described in the Privacy Policy. LinkedIn-connected data handling is described in the LinkedIn Data Usage Policy. Users may request access, correction, erasure, consent withdrawal, grievance support, and deletion subject to verification, product limitations, and legal retention obligations.

13. Service Availability

Elaryx is provided using cloud systems, AI providers, payment gateways, LinkedIn APIs, and other third-party services. We do not guarantee uninterrupted service. Maintenance, outages, model limits, API restrictions, payment issues, internet issues, and third-party downtime may affect availability.

Elaryx may modify features, pricing, limits, plans, and service design prospectively, subject to applicable law and active commercial commitments.

14. Suspension and Termination

Elaryx may restrict, pause, or suspend accounts for payment failure, security risk, abuse, spam, legal risk, LinkedIn policy risk, unauthorised use, chargeback misuse, or violation of these Terms. Termination does not waive amounts already due.

Data export and deletion are handled under the Privacy Policy and may be subject to billing, tax, security, dispute, backup, and legal retention requirements.

15. Disclaimers and Limitation of Liability

To the maximum extent permitted by applicable law, Elaryx is provided on an as-is and as-available basis. We do not guarantee content accuracy, growth outcomes, revenue, leads, reach, platform availability, uninterrupted integrations, or legal compliance of user content.

To the maximum extent permitted by applicable law, Elaryx is not liable for indirect, incidental, special, punitive, reputational, loss-of-profit, loss-of-revenue, loss-of-business, loss-of-data, platform penalty, LinkedIn account restriction, or similar losses. Liability is capped at the amount paid by the user to Elaryx for the specific paid plan in the three months preceding the event giving rise to the claim, or INR 5,000 for free users, unless applicable law requires otherwise.

16. Indemnity, Governing Law, and Contact

You agree to indemnify Elaryx and PINNAL SOFTWARE SOLUTIONS LLP for claims arising from User Content, misuse, legal violations, LinkedIn violations, third-party IP claims, unauthorised client or team use, or breach of these Terms.

These Terms are governed by the laws of India. Courts or tribunals with jurisdiction over PINNAL SOFTWARE SOLUTIONS LLP's registered office location have exclusive jurisdiction, subject to mandatory consumer rights.

For legal, billing, or grievance questions, email support@elaryx.ai with your account email, subscription or invoice ID, issue details, and supporting evidence. We may update these Terms prospectively and may notify material changes by email or in-app notice. Continued use after the effective date means acceptance.
